Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Roomza platform ("Service") operated by [PLACEHOLDER: Company Legal Name], registration number [PLACEHOLDER: Registration Number], ("Roomza", "we", "us", or "our"). By signing up or using the Service you agree to these Terms. If you do not agree, do not use the Service.
These Terms constitute an agreement as contemplated under the Electronic Communications and Transactions Act 25 of 2002 ("ECTA") and the Consumer Protection Act 68 of 2008 ("CPA") where applicable.
1. Who We Are

2. The Service
Roomza is an autonomous dynamic-pricing engine for South African guesthouses, hotels, and lodges. Once connected to your channel manager, Roomza continuously monitors demand signals, computes optimal nightly rates within the floor and ceiling you set, and pushes those rates to your OTA channels on your behalf.
The Service includes a web dashboard, reporting tools, a manual override layer, and (where activated) the Ruby AI assistant. Features may change as we develop the platform.
3. Accounts and Eligibility
You must be at least 18 years old and have legal authority to bind your property business to these Terms. You are responsible for maintaining the confidentiality of your login credentials. You must notify us immediately of any unauthorised access at [PLACEHOLDER: contact@roomza.co.za].
One account may manage multiple properties within the same subscription tier. You may not share accounts between unrelated businesses.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any South African law or regulation.
- Attempt to reverse-engineer, scrape, or extract data from the platform in an unauthorised manner.
- Circumvent any rate floors or ceilings set by your channel manager in a way that violates your OTA contracts.
- Use the Service to process or store payment card data or guest personal information beyond what is needed for reservation-pace calculations.
- Introduce malware or attempt to disrupt the availability of the platform.
5. Autonomous Pricing - Owner Responsibility
Roomza automates rate decisions on your behalf using the floor price and ceiling price you configure, and the signals you enable. You remain solely responsible for:
- Setting appropriate floor and ceiling prices that comply with your OTA contracts, applicable law, and your own business requirements.
- Ensuring your OTA listings, content, and rate plans remain accurate and compliant with each platform's terms.
- Any rates pushed to your channels as a result of the Service, including any underpricing or overpricing that may occur.
- Reviewing and approving any manual overrides or pauses as required by your business.
Roomza provides a pre-push sanity check and hard floor/ceiling enforcement as a safety layer, but these mechanisms do not guarantee that every computed rate will be commercially optimal for your specific property. The Service is a decision-support tool; it does not replace your judgment as the property owner.
You may pause the autonomous engine or lock specific dates at any time via the dashboard. Rates that have already been pushed to your channel manager and distributed to OTAs may take time to propagate; Roomza has no control over that propagation.
6. Intellectual Property
All software, algorithms, design, and content forming part of the Roomza platform are owned by or licensed to us. Your property data, rate history, and configuration remain yours. We may use aggregated, anonymised industry data derived from the platform to improve the Service.
7. No Warranty
The Service is provided "as is" and "as available". To the extent permitted by South African law (including the CPA), Roomza makes no warranty, express or implied, that:
- The Service will be uninterrupted, error-free, or secure at all times.
- The pricing recommendations or rate pushes will achieve any particular revenue outcome.
- Third-party signals (competitor rates, events data, weather) will be accurate or complete.
Nothing in these Terms limits any rights you may have under the CPA that cannot be excluded by contract.
8. Limitation of Liability
To the maximum extent permitted by law, Roomza's total liability to you for any claim arising under or in connection with these Terms is limited to the fees you paid to Roomza in the three months preceding the event giving rise to the claim. Roomza is not liable for any indirect, incidental, or consequential loss, including loss of revenue or lost bookings, even if we have been advised of the possibility of such loss.
Nothing in this clause limits liability for gross negligence, wilful misconduct, or for any non-excludable statutory right under South African law.
9. Billing
Billing is governed by our Refund and Cancellation Policy, which forms part of these Terms. The current subscription fee is R499 per month (including VAT where applicable), billed via PayFast. A 14-day free trial is available to new accounts. We reserve the right to change pricing with 30 days' written notice.
10. Suspension and Termination
We may suspend or terminate your account if you breach these Terms, fail to pay fees, or if continued operation poses a security or legal risk. We will give you reasonable notice where practicable. On termination you may request an export of your property configuration data within 30 days.
11. Changes to These Terms
We may update these Terms from time to time. We will notify you by email (using the address on your account) at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
12. Governing Law and Disputes
These Terms are governed by the laws of the Republic of South Africa. Any dispute that cannot be resolved informally will be referred to the courts of South Africa, and both parties consent to the jurisdiction of those courts.
For disputes involving consumer rights, you may also approach the National Consumer Commission or a relevant ombud under the CPA.
